Terms of Service

Welcome to Resonate (“App”, “Service”). By downloading, accessing, or using the App, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, please discontinue use of the App.
1. Relationship to Apple’s Standard EULA
Resonate is licensed to you under Apple’s Licensed Application End User License Agreement (Standard EULA), available at:
https://www.apple.com/legal/internet-services/itunes/dev/stdeula/
The Standard EULA governs your license to install and use the App on Apple-branded devices.
These Terms are a separate agreement between you and Resonate. Apple is not a party to these Terms.
If any part of these Terms conflicts with the Standard EULA’s licensing provisions, the Standard EULA prevails to the extent required by Apple.
Apple has no responsibility for the App, its content, support, maintenance, claims, liabilities, or user issues.
2. Warranty Disclaimer (As-Is / As-Available)
Resonate is provided “as is” and “as available.” To the fullest extent permitted by law, we make no warranties or representations, express or implied, regarding:
the accuracy, reliability, or usefulness of any AI-generated content;
the continuity, availability, or error-free operation of the App;
the security or integrity of any data stored or transmitted through the App;
the App being fit for any particular purpose.
We do not guarantee that the App will be uninterrupted, secure, free of bugs, or free of harmful components. You use the App at your own risk.
For users who download Resonate via the Apple App Store, Apple’s Standard EULA also applies and governs your licensed use of the App. In any conflict, the Standard EULA will prevail solely with respect to rights and obligations required by Apple. This reference does not limit or reduce any of the disclaimers or limitations set out in these Terms.
Service availability is further described in Section 8 (Service Availability & Changes).
3. Eligibility & Accounts
You must be at least 13 years old to use Resonate.
Resonate does not require you to create an account or provide login credentials.
All personal data you create inside the App is stored locally on your device and/or in your personal iCloud via CloudKit, associated solely with your Apple ID.
We do not have access to your Apple ID, your iCloud account, or your credentials.
4. Your Data & CloudKit Storage
Because Resonate uses CloudKit:
Your data is stored in your personal iCloud environment, not on our servers.
You may delete this data through your device’s iCloud settings or through any in-app data-clearing features we provide.
We cannot access, control, or recover your iCloud data.
Deleting the App may remove on-device data; iCloud data will persist until you delete it from iCloud.
Since we do not maintain user accounts, there is no separate “account deletion” process beyond managing your own iCloud data.
5. AI-Generated Content
Resonate uses AI technology to generate affirmations, reflections, and other content (“Outputs”) based on your inputs (“Inputs”).
5.1 Inputs and Outputs
You retain ownership of your Inputs.
You receive a personal, non-exclusive, non-transferable right to use the Outputs generated for you for your own personal purposes.
5.2 How Your Inputs Are Processed
To generate Outputs:
Your Inputs are securely transmitted to our AI service provider solely for the purpose of producing the requested content and ensuring the proper functioning of the App and its services.
The App and/or AI service provider may temporarily retain logs only as needed to operate the model safely, detect abuse, and ensure reliability and performance.
These logs are de-identified (not linked to your identity, device, or Apple ID) and retained only for a limited period required for safety and performance.
5.3 No Training, No Selling, No Tracking
Your Inputs and Outputs are not used to train AI models.
Your Inputs and Outputs are not sold or shared with advertisers.
We do not use your content for targeted advertising or cross-site tracking.
5.4 Accuracy & Professional Limitations
AI-GENERATED CONTENT MAY BE INACCURATE, INCOMPLETE, GENERIC, OR UNSUITABLE FOR YOUR SITUATION.
You agree not to rely on AI Outputs for any professional, safety-critical, therapeutic, diagnostic, legal, financial, crisis-related, or otherwise consequential decisions, including but not limited to:
medical advice or diagnosis
mental health advice or treatment
legal advice
financial or investment decisions
crisis-related or self-harm decisions
any other high-risk or safety-critical guidance
Resonate is not a substitute for therapy, counselling, mental health treatment, or medical care.
If you are experiencing an emergency, feel distressed, or believe you may be a danger to yourself or others, you must contact local emergency services or qualified professionals immediately.
5.5 Deleting Your Content
You may delete your Inputs and generated affirmations within the App where such functionality is provided.
If content is stored in iCloud, you may delete it via your device’s iCloud settings.
6. User Responsibilities
You agree that you will not:
use the App for unlawful, harmful, or abusive purposes;
input illegal, harmful, infringing, or otherwise unlawful content;
attempt to reverse engineer, modify, or circumvent any part of the App or Apple’s systems (subject to the Standard EULA);
use the App while driving, operating machinery, or in any situation where distraction could create a safety risk.
7. Subscriptions & In-App Purchases
Resonate offers subscription options via Apple’s in-app purchase system, such as:

Yearly All Access
All billing, renewals, refunds, and payment issues are handled solely by Apple’s App Store, not by Resonate.
7.1 Billing & Auto-Renewal
Subscriptions are auto-renewing and will renew automatically unless cancelled at least 24 hours before the end of the current billing period, as described in Apple’s applicable terms and the Standard EULA.
You can manage or cancel your subscription at any time via:
Settings → Apple ID → Subscriptions on your device.
7.2 Pricing
Pricing is set using Apple’s App Store pricing tiers and may vary by region and currency.
Apple may adjust pricing tiers from time to time, which may affect the subscription price in your region.
7.3 Refunds
All refunds are processed exclusively by Apple, at Apple’s discretion and in accordance with their policies.

8. Service Availability & Changes
We may update, modify, suspend, or discontinue the App or any of its features at any time, with or without notice.
We do not guarantee uninterrupted access to the App, error-free operation, or permanent availability of any specific feature, content, or subscription offering.
From time to time, the App may be unavailable due to maintenance, updates, outages, or factors outside our control.
To the extent permitted by law, we are not liable for any loss or damage arising from any modification, suspension, or discontinuation of the App or any part of it.
This section operates in addition to, and consistently with, the warranty disclaimers and liability limitations described in Sections 2 and 10.
9. Intellectual Property Ownership
All rights, title, and interest in and to the App — including its design, software, user interface, user experience, scripts, text, graphics, images, audio, models, brands, trademarks, logos, and any other proprietary materials — are owned by Resonate or its licensors.
Except for the limited license granted to you to install and use the App under these Terms and the Standard EULA, no rights are transferred to you.
You agree that you will not:
copy, reproduce, modify, adapt, reverse engineer, disassemble, or create derivative works from the App;
use our brand, content, or materials for any commercial or public purpose without our prior written permission;
misrepresent the App or imply that you are affiliated with, endorsed by, or acting on behalf of Resonate without our consent.
Feedback and Suggestions
Any improvements, ideas, feedback, or suggestions you provide to us regarding the App may be used, implemented, or developed by us without obligation or compensation to you. You waive any claim to ownership or compensation related to such feedback.
10. Disclaimers & Limitations of Liability
10.1 Not a Substitute for Professional Advice
Resonate provides AI-generated affirmations and related content to support personal reflection and emotional wellbeing. The App is not a replacement for medical, psychological, therapeutic, legal, financial, or other professional advice, diagnosis, or treatment. You should always consult appropriately qualified professionals for any questions or concerns regarding your physical or mental health, legal rights, or financial situation.
10.2 Sensitive and Emergency Content Limitations
Resonate is not designed to process or respond to crisis situations, traumatic disclosures, or any content requiring professional intervention.
If you are in distress, experiencing a crisis, or facing serious health or safety issues, you must seek immediate help from licensed professionals or local emergency services.
10.3 Input Privacy and Non-Monitoring Policy
Resonate does not actively monitor, store, or review your Inputs in real time.
Inputs are processed by automated systems solely to generate personalized content for the services provided by the App.
Because Inputs are not human-reviewed, Resonate cannot detect emergencies or respond to crisis situations.
By using the Service, you understand and agree that:
We do not provide active monitoring or intervention for high-risk situations.
We are not responsible for reporting, escalating, or responding to any disclosures, including those suggesting harm to yourself or others.
Submitting sensitive, self-harm, or emergency-related content will not result in help being provided.
10.4 AI Limitations & Content Accuracy
All affirmations and Outputs are generated by AI based on your Inputs. While we aim to offer meaningful and emotionally supportive content, we do not guarantee:
accuracy, completeness, or timeliness;
appropriateness for your specific circumstances;
any therapeutic or clinical benefit.
Outputs may occasionally be imperfect, unexpected, or misaligned with your emotional needs or expectations.
10.5 No Liability for Input or Output Misuse
You are solely responsible for the content you submit and how you choose to interpret or act upon AI-generated Outputs.
To the maximum extent permitted by law, Resonate and its directors, employees, contractors, and partners will not be liable for any:
indirect, incidental, special, exemplary, or consequential damages;
loss of data, loss of revenue, loss of profits, or loss of goodwill;
emotional distress, psychological harm, or decisions made in reliance on AI-generated content or your use of the App.
Some regions do not allow certain exclusions or limitations of liability. In those cases, your statutory rights apply to the extent required by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Resonate and its directors, employees, contractors, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
your use or misuse of the App;
your violation of these Terms;
any content you submit through the App;
any interaction or dispute between you and a third party;
your breach of any applicable law or regulation.
This indemnification obligation applies to use of the App in both personal and business contexts.
12. Termination
We may terminate, suspend, or restrict your access to the App at any time if:
you violate these Terms; or
we reasonably believe your use may create risk, liability, or harm to us, other users, or third parties.
Upon termination, your right to use the App will cease. Termination does not affect any rights or obligations that have accrued up to the date of termination.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of Australia, without regard to its conflict-of-law principles.
In the event of a dispute, the parties agree to first attempt to resolve the matter informally. If informal resolution is not successful, the dispute will be submitted to binding arbitration in accordance with applicable arbitration rules, before either party may pursue court proceedings, except where local law requires otherwise.
14. Changes to Terms
We may update these Terms from time to time. The latest version will be made available on our website or within the App.
Your continued use of the Service after changes are published constitutes your acceptance of the updated Terms.
